# Terms of Service

Terms governing access to and use of Autopilot websites, applications, services, features, support, and related services.

These Terms of Service are between Autopilot Limited ("Autopilot", "we", "our", or "us") and the customer.

## Introduction

These Terms of Service govern access to and use of Autopilot websites, applications, services, features, support, documentation, and related services.

Autopilot is a New Zealand SaaS platform for dealerships and related businesses. It provides software for dealership workflows, customer management, reporting, communication, automation, and related operational processes.

By accessing or using Autopilot, the customer and its authorised users agree to these Terms. The person accepting these Terms on behalf of a customer represents that they are authorised to bind that customer to these Terms. If a customer has a separate written agreement with Autopilot, that agreement applies to the extent it conflicts with these Terms.

## Customers and authorised users

Autopilot is intended for business use by dealerships and related businesses. A customer is the business, dealership, group, or organisation that subscribes to, pays for, or is otherwise authorised to use Autopilot.

Users may access Autopilot only if they are authorised by the relevant customer. Customers are responsible for deciding which users may access Autopilot, what permissions they receive, and how those users use the service.

Customers are responsible for their users' actions and omissions in connection with Autopilot. Customers and users must keep account credentials, devices, access links, and authentication methods secure and must not share access except through authorised product features.

## The Autopilot service

Autopilot provides dealership workflow, customer management, reporting, communication, automation, and operational software. Available features may depend on the customer's plan, configuration, permissions, integrations, enabled modules, and product availability.

Autopilot may update, improve, change, add, or remove features from time to time. These Terms do not create any uptime, availability, support, or service-level commitment unless a separate written agreement says otherwise.

Autopilot may make beta, preview, experimental, or early-access features available from time to time. These features may be incomplete, change without notice, be subject to additional limitations, and may be withdrawn. Unless otherwise agreed in writing, beta or preview features are provided as-is and should not be relied on for critical dealership, legal, financial, compliance, or safety decisions.

## Customer data

Customer data means information, content, records, communications, files, notes, customer details, vehicle details, reports, settings, and other material entered, uploaded, imported, generated, submitted, or managed through Autopilot by or on behalf of a customer.

Customers retain ownership of their customer data. Customers are responsible for the accuracy, quality, legality, and suitability of customer data and for ensuring they have the required rights, notices, permissions, consents, and legal bases for collecting, using, storing, sharing, and processing that data through Autopilot.

Autopilot may host, process, transmit, display, analyse, store, secure, support, maintain, and otherwise use customer data as needed to provide, operate, protect, troubleshoot, investigate incidents, and secure the service, and for related operational purposes described in these Terms, the Privacy Policy, and applicable customer agreements.

Autopilot may use aggregated, anonymised, de-identified, operational, diagnostic, security, service-usage, and performance information to maintain, support, secure, and improve the service, where individuals are not identified and Autopilot does not attempt to re-identify them. Autopilot does not use customer information submitted through Autopilot as general product-training data or to train public AI models.

Autopilot does not sell customer data.

### Customer access and instructions

Customers control how they use Autopilot and the customer data they submit to the service.

Autopilot generally processes customer data on behalf of the customer in accordance with the customer's instructions, configuration, permissions, enabled features, and use of the service.

Customers are responsible for determining who may access customer data through Autopilot and for managing user permissions, integrations, communications, workflows, and operational processes that involve customer data.

## Customer communications and marketing

Customers may use Autopilot to send transactional, operational, automated, service-related, and marketing communications to their customers, leads, contacts, staff, suppliers, and other recipients.

Examples may include lead follow-ups, vehicle delivery updates, appointment reminders, service notifications, workflow communications, customer support communications, and marketing campaigns.

Customers are solely responsible for determining who they contact, why they contact them, what they send, and whether the communication is lawful and appropriate.

Customers must ensure they have all required rights, permissions, consents, notices, and legal bases for communications sent using Autopilot. Customers must comply with all applicable privacy, anti-spam, marketing, consumer protection, and communications laws.

Autopilot does not determine whether a customer has consent or another lawful basis to contact a recipient. Autopilot may suspend, limit, disable, or restrict communication features if we believe they are being misused or may create legal, security, deliverability, reputational, or operational risk.

## Acceptable use

Customers and users must comply with the [Acceptable Use Policy](/legal/acceptable-use). The Acceptable Use Policy describes prohibited uses relating to communications, data, service abuse, AI features, security, and enforcement.

Autopilot may suspend, limit, disable, or restrict accounts, users, features, communications, API access, integrations, or other service access if we believe the policy has been violated or use creates legal, security, deliverability, reputational, operational, or service risk.

## AI features

Autopilot may make AI-assisted features available to support assistant, analysis, drafting, summarisation, workflow, operational, or related functions.

AI outputs may be inaccurate, incomplete, outdated, unsuitable, or misleading. Customers and users are responsible for reviewing AI outputs before relying on them, sharing them, making decisions based on them, or using them in customer-facing workflows.

AI features should not be used for high-risk legal, financial, medical, safety, employment, or similar decisions without appropriate human review by a suitably qualified person.

Customer information submitted to AI features may be processed by Autopilot and its AI service providers as described in the Privacy Policy and the Subprocessors page. AI prompts, responses, transcripts, feedback, and related context may be stored where reasonably needed to provide, support, secure, monitor, or troubleshoot the relevant feature, unless another specifically disclosed basis applies. Autopilot does not use customer information submitted through Autopilot as general product-training data or to train public AI models.

## Fees, billing, and subscriptions

Fees for Autopilot are as agreed in an order form, subscription page, invoice, quote, plan, or other written agreement with the customer.

Specific subscription details, pricing, billing arrangements, usage limits, or service inclusions may be set out in an order form, quote, invoice, plan description, pricing page, or separate written agreement. Except where the [Data Processing Agreement](/legal/dpa) applies to Customer Personal Data processing, if there is an inconsistency, the more specific written commercial term applies to that specific commercial issue.

Fees are exclusive of GST and other taxes unless stated otherwise. Customers are responsible for all applicable taxes, duties, levies, and similar charges, except taxes based on Autopilot's income.

Payments may be processed through Stripe or another payment provider. Payment providers may process billing and payment information under their own terms and policies.

Subscriptions may renew unless cancelled in accordance with the applicable plan, order form, invoice, subscription settings, or written agreement. Late, failed, disputed, or overdue payments may result in suspension, restriction, or termination of access to Autopilot.

## Trials, cancellations, and refunds

Autopilot may offer trials, pilots, evaluation access, or limited promotional access. Trial terms, feature limits, duration, and eligibility may vary and may be changed or withdrawn by Autopilot.

Customers may cancel according to the applicable plan, subscription process, order form, or written agreement. Cancellation does not automatically entitle the customer to a refund unless required by law or agreed in writing.

Unless otherwise stated, cancellation may allow access to continue until the end of the paid billing period, after which access may end or be restricted.

## Third-party services and integrations

Autopilot may integrate with, connect to, or rely on third-party services, systems, APIs, imports, connected systems, infrastructure providers, payment providers, email providers, AI providers, and other services.

Customers may authorise integrations, imports, API connections, or connected systems. Customers are responsible for deciding which integrations they enable, what data is shared through them, and whether they have the required rights, notices, permissions, consents, and legal bases for that sharing.

Third-party services are governed by their own terms, policies, security practices, availability, and support arrangements. Autopilot is not responsible for third-party systems outside Autopilot's control.

Customers acknowledge that information shared with customer-authorised third-party services may be copied, stored, processed, transferred, or retained by those services in accordance with their own terms, policies, and practices.

## Security and access

Autopilot uses reasonable technical, organisational, and operational safeguards intended to protect customer information. No service can guarantee absolute security.

Customers are responsible for managing user access, account security, passwords, permissions, authentication methods, devices, and internal access procedures. Customers must promptly notify Autopilot if they suspect unauthorised access, credential compromise, misuse, or a security issue affecting Autopilot.

## Privacy

Use of Autopilot is subject to the [Privacy Policy](/legal/privacy). The Privacy Policy explains how Autopilot collects, uses, shares, stores, and protects information in connection with Autopilot.

Where Autopilot processes Customer Personal Data on behalf of a Customer, Autopilot’s [Data Processing Agreement](/legal/dpa) applies.

## Intellectual property

Autopilot owns the software, platform, websites, applications, features, designs, interfaces, documentation, technology, branding, trademarks, and related intellectual property used to provide Autopilot.

Customers own their customer data. Customers grant Autopilot the rights needed to host, process, transmit, display, copy, store, secure, analyse, and use customer data to provide, operate, support, maintain, protect, troubleshoot, and secure Autopilot and related services in accordance with these Terms, the Privacy Policy, customer configuration, and applicable customer agreements.

Autopilot may use aggregated, anonymised, de-identified, operational, diagnostic, security, service-usage, and performance information to maintain, support, secure, and improve Autopilot and related services, where individuals are not identified and Autopilot does not attempt to re-identify them.

If customers or users provide feedback, suggestions, ideas, requests, or recommendations, Autopilot may use them without restriction or obligation.

## Confidentiality

Each party may receive non-public business, technical, customer, pricing, operational, security, or product information from the other party.

Each party must take reasonable steps to protect the other party's confidential information and use it only for purposes connected with Autopilot, the customer relationship, or applicable agreements.

Confidential information does not include information that is public, already known without a confidentiality obligation, independently developed, lawfully received from another source, or required to be disclosed by law, regulator, court, or similar authority.

## Suspension and termination

Autopilot may suspend, restrict, or terminate access to all or part of the service if:

- fees are unpaid, overdue, disputed, or unable to be processed;
- a customer or user breaches these Terms or another agreement with Autopilot;
- use of Autopilot creates or may create security, legal, deliverability, reputational, operational, or service risk;
- suspension or termination is required by law, regulator, provider, court order, or similar authority;
- continued access may harm Autopilot, other customers, users, recipients, providers, or third parties; or
- Autopilot reasonably needs to protect the service, customer information, or related systems.

Customers may cancel their subscription or stop using Autopilot in accordance with the applicable plan, order form, subscription process, or written agreement.

After termination or expiry, access to Autopilot may end or be restricted. Autopilot may provide reasonable access or export assistance where available, appropriate, and permitted. Except as described in the Data Processing Agreement for Customer Personal Data or in a separate written agreement, these Terms do not create fixed export, retention, backup, or deletion timelines.

## Disclaimers

To the extent permitted by law, Autopilot is provided on an "as is" and "as available" basis.

Autopilot does not guarantee that the service will be uninterrupted, error-free, fully secure, free from data loss, or available at all times.

Autopilot does not guarantee that outputs, reports, automation, calculations, communications, integrations, imports, AI outputs, or third-party services will be complete, accurate, up to date, lawful, deliverable, or suitable for every customer purpose.

Autopilot may include reports, calculations, statuses, workflow outputs, automation results, and other information generated from customer data or system activity. These are provided to support dealership operations and should be reviewed by the customer before being relied on for accounting, payroll, commission, tax, regulatory, legal, or other business-critical purposes.

Customers remain responsible for reviewing and validating information, workflows, outputs, communications, and decisions made using Autopilot.

## Liability limits

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.

To the extent permitted by law, Autopilot is not liable for indirect, consequential, special, incidental, exemplary, or punitive loss, or for loss of profits, revenue, goodwill, data, business opportunity, anticipated savings, or business interruption.

To the extent permitted by law, Autopilot's total liability arising out of or in connection with Autopilot, these Terms, or the relevant customer relationship is limited to the amount paid by the customer to Autopilot for the service in the three months before the event giving rise to the claim, unless a separate written agreement specifies another amount.

## Indemnity

The customer indemnifies Autopilot against claims, losses, liabilities, damages, costs, and expenses arising from or connected with:

- customer data;
- unlawful, misleading, infringing, or unauthorised communications;
- breach of consent, privacy, anti-spam, marketing, consumer protection, or communications laws;
- customer or user misuse of Autopilot;
- customer-authorised integrations, imports, APIs, connected systems, or third-party services; or
- breach of these Terms by the customer or its users.

## Changes to the service or terms

Autopilot may update, improve, change, suspend, replace, or discontinue parts of the service from time to time.

Autopilot may update these Terms by publishing revised terms. Where a change is material, Autopilot may provide notice where appropriate, such as through the service, by email, or by other reasonable means.

Continued use of Autopilot after updated Terms take effect means the customer and its users accept the updated Terms.

## General

The customer may not assign or transfer its rights or obligations under these Terms without Autopilot's prior written consent.

Autopilot may assign, transfer, or subcontract its rights or obligations where reasonably required for business, operational, restructuring, or service delivery purposes.

Autopilot is not liable for delay or failure to perform caused by events outside its reasonable control.

If any part of these Terms is invalid or unenforceable, the remaining parts continue to apply.

A failure or delay in enforcing these Terms is not a waiver of Autopilot's rights.

These Terms, together with the policies referenced in them and any applicable order form or written agreement, form the agreement for use of Autopilot unless a separate written agreement says otherwise.

## Governing law

These Terms are governed by New Zealand law.

The parties submit to the non-exclusive jurisdiction of the New Zealand courts, unless a separate written agreement says otherwise.
